These Terms of Service ("Terms") govern your access to and use of Verdic's AI validation service ("Service"). By accessing or using our Service, you agree to be bound by these Terms.
By creating an account, accessing, or using Verdic's Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Verdic provides an API-based service for validating AI-generated outputs against defined intent and safety requirements. Our Service includes:
- Multi-dimensional drift detection and analysis
- Intent alignment verification
- Content moderation and safety checks (PII detection, prompt injection protection, etc.)
- Policy violation level reporting (ALLOW, WARN, SOFT_BLOCK, HARD_BLOCK)
- Usage tracking and analytics
- API access and integration tools
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
Account Creation
To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your API keys.
Account Security
You are responsible for all activities that occur under your account. You agree to:
- Keep your account credentials and API keys secure and confidential
- Immediately notify us of any unauthorized access or security breach
- Use strong, unique passwords and API keys
- Not share your API keys with unauthorized parties
- Log out of your account when using shared or public devices
Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent or illegal activities, or if your account remains inactive for an extended period.
Permitted Uses
You may use our Service only for lawful purposes and in accordance with these Terms. You agree to use the Service to:
- Validate AI-generated outputs in compliance with applicable laws
- Integrate our API into your legitimate applications and services
- Monitor and improve the safety and reliability of your AI systems
Prohibited Uses
You agree NOT to:
- Use the Service to validate content that is illegal, harmful, or violates any applicable laws or regulations
- Attempt to reverse engineer, decompile, or extract our algorithms or proprietary technology
- Use the Service to build a competing product or service
- Interfere with or disrupt the integrity or performance of the Service
- Exceed rate limits or attempt to bypass usage restrictions
- Share, sell, or resell API keys or access credentials
- Use automated systems (bots, scrapers) to access the Service in violation of rate limits
- Submit malicious code, viruses, or harmful content through the Service
- Impersonate any person or entity or falsely claim affiliation with any entity
- Violate any intellectual property rights or proprietary rights of others
Violation Consequences
Violation of these Terms may result in immediate suspension or termination of your account, legal action, and reporting to relevant authorities. We reserve the right to investigate and take appropriate action against any suspected violations.
Subscription Plans
We offer multiple subscription plans (Free, Starter, Pro, Enterprise) with different features, credit limits, and pricing. Plan details, including pricing and features, are available on our Pricing page and are subject to change with notice.
Billing and Payment
- Paid plans are billed in advance on a monthly or annual basis, as selected
- All fees are non-refundable except as required by law or as explicitly stated
- You authorize us to charge your payment method for all fees associated with your subscription
- We use third-party payment processors (e.g., Stripe) to handle payments securely
- Prices are subject to change, but we will notify you at least 30 days in advance of any price increases
Credits and Usage
- Each validation request consumes 1 credit from your monthly allocation
- Credits reset at the start of each billing cycle and do not roll over
- If you exceed your plan's credit limit, you may need to upgrade your plan or wait until the next billing cycle
- Unused credits expire at the end of the billing period
Plan Changes and Cancellation
- You may upgrade, downgrade, or cancel your subscription at any time
- Plan changes take effect immediately; billing adjustments are prorated
- Cancellation takes effect at the end of the current billing period
- Upon cancellation, you retain access to the Service until the end of the paid period
- No refunds are provided for partial billing periods, except as required by law
Our Intellectual Property
The Service, including all software, algorithms, APIs, documentation, trademarks, logos, and other materials, is owned by Verdic and protected by copyright, trademark, and other intellectual property laws. You receive no ownership rights in the Service.
Your Content
You retain all rights to the content you submit to our Service for validation ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive license to:
- Process and analyze Your Content to provide validation services
- Store Your Content as necessary to deliver the Service and maintain records
- Use anonymized, aggregated data for service improvement and analytics
You represent and warrant that you have all necessary rights to submit Your Content and grant us these licenses.
Feedback
If you provide feedback, suggestions, or ideas about our Service, you agree that we may use, implement, and incorporate such feedback without compensation or attribution to you.
Availability
While we strive to maintain high availability and uptime, we do not guarantee that the Service will be uninterrupted, error-free, or available 100% of the time. We may perform scheduled or unscheduled maintenance that temporarily limits access to the Service.
Service Level Agreement (SLA)
Pro and Enterprise plan subscribers are eligible for uptime SLAs (99.9% for Pro, 99.99% for Enterprise). SLA terms and remedies are detailed in your subscription agreement.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Service will meet your specific requirements or be error-free
- Warranties regarding the accuracy, completeness, or reliability of validation results
Validation decisions are based on algorithmic analysis and may not be perfect. You are responsible for making final decisions regarding the use of AI-generated content in your applications.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERDIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or business opportunities
- Costs of substitute services
- Damages arising from use or inability to use the Service
- Damages resulting from validation decisions or errors
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Verdic, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your Content or any content you submit through the Service
- Your infringement of any third-party rights
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
You are responsible for ensuring that any content you submit for validation complies with applicable data protection laws and that you have the necessary rights and consents to process such content.
Termination by You
You may terminate your account at any time by canceling your subscription through your account settings or by contacting us. Termination takes effect at the end of your current billing period.
Termination by Us
We may suspend or terminate your account immediately, with or without notice, if you:
- Violate these Terms or our Privacy Policy
- Engage in fraudulent, illegal, or harmful activities
- Fail to pay fees when due
- Misuse the Service or attempt to harm our systems
Effect of Termination
Upon termination, your right to use the Service immediately ceases. We may delete your account data and content in accordance with our Privacy Policy and data retention policies. Provisions that by their nature should survive termination (including payment obligations, intellectual property rights, and limitations of liability) will survive.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Dispute Resolution
Any disputes arising from or relating to these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts in India.
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page with a new "Last updated" date
- Sending an email notification to the address associated with your account
- Displaying a notice within the Service
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Verdic regarding the Service and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
